WITI EULA

This End-User Licensing Agreement ("EULA") is a legal agreement between you, either an individual or a single entity ("Client ) and WITI Profession Association ( Service Provider ) governing Client s use of the training materials.

1. License Grant:

The Service Provider hereby grants the Client a non-exclusive, non-transferable, limited license to use the training materials provided under this EULA solely for internal educational purposes within the Client's organization.

2. Ownership of Intellectual Property:

All intellectual property and related materials that are produced or developed by the Service Provider, including but not limited to moral rights, goodwill, trade secrets, applications for registrations or relevant registration, and rights to any trademark, trade dress, patent, copyright, trade name, and industrial design ("Intellectual Property") before, after, or under this Service Agreement, shall remain the sole property of the Service Provider.

3. Client Rights to Physical Deliverables:

The Client shall own the physical deliverables provided as part of the training services, which may include course books, handouts, video or audio recordings of lectures, and class discussions ("Physical Deliverables"). The Client is authorized to use these Physical Deliverables solely within its organization for the purpose of training its employees.

4. Restrictions:

The Client agrees not to reproduce, distribute, repurpose, modify, or create derivative works of the Intellectual Property or Physical Deliverables, except as expressly allowed under this EULA.

5. Term and Termination:

This EULA shall remain in effect until terminated. The Service Provider may terminate this EULA if the Client breaches any term herein and fails to cure such breach within a specified period after receiving notice of such breach.

6. Governing Law:

This EULA shall be governed by the laws of the jurisdiction in which the Service Provider is located, without regard to its conflict of law provisions.

8. Acknowledgement:

BY USING THE TRAINING MATERIALS PROVIDED BY THE SERVICE PROVIDER, THE CLIENT ACKNOWLEDGES THAT THEY HAVE READ THIS EULA, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
